These Terms and Conditions ("Terms") constitute a legally binding agreement between Bear My Brand ("Agency", "we", "us", "our") — a branding and digital marketing agency registered and operating in Dhaka, Bangladesh — and any individual, business, or organisation ("Client", "you", "your") that engages our services or accesses our website.
By booking a call, submitting a project brief, signing a proposal, making any payment, or otherwise engaging Bear My Brand for services, you confirm that you have read, understood, and agree to be fully bound by these Terms. If you do not agree to these Terms, you must not engage our services.
These Terms apply to all services provided by Bear My Brand, including but not limited to brand identity design, editorial design, website development, digital marketing, SEO, social media management, video production, and any other creative or strategic services.
A Note on Our Business Address
Bear My Brand is registered as a Limited Liability Company (LLC) in the State of Florida, USA. While our primary operations are conducted from Dhaka, Bangladesh, our Florida registration remains active and valid. During a transitional period, certain official documents — including contracts, agreements, and company profiles — may carry our Florida, USA address. Once our existing print materials are exhausted, all documents will be updated to reflect our Bangladesh operational address. Both addresses are legally associated with Bear My Brand LLC and any reference to either address in our documents is fully authorised and valid. Clients should not be confused by the presence of either address on official Bear My Brand materials.
Bear My Brand operates on a structured payment schedule designed to protect both the Agency and the Client and to ensure smooth project delivery. All payment terms are outlined at the time of proposal and must be agreed upon before any work commences.
⚠ Non-Refundable Advance Policy: Once a project agreement has been signed or acknowledged and the 70% advance payment has been received, that advance payment is strictly non-refundable under any circumstances. This policy exists because the advance compensates the Agency for time blocked for the project, resources allocated, team assignments, and preliminary work already initiated.
Payments may be made via bank transfer, mobile banking (bKash, Nagad), or any other method mutually agreed upon in writing. All amounts are in Bangladeshi Taka (BDT) unless otherwise specified in the project proposal. International clients may pay in USD, GBP, AUD, or CAD as agreed.
If the final 30% payment is not received within 7 calendar days of the agreed delivery date, Bear My Brand reserves the right to:
Bear My Brand will issue a formal invoice for all payments. Clients are responsible for retaining payment records. All prices quoted are exclusive of applicable taxes unless stated otherwise.
Every project undertaken by Bear My Brand is governed by a project proposal or service agreement that defines the scope of work, deliverables, timeline, and pricing. The scope of work is fixed at the time of agreement.
Work on a project will begin only after the following conditions have been met:
Any additions, alterations, or expansions to the originally agreed scope of work will be treated as a separate project or change order and will be subject to additional charges. The Agency will provide a revised quote for any out-of-scope requests before proceeding. Verbal scope changes are not binding — all changes must be agreed in writing.

Bear My Brand is committed to delivering work that meets and exceeds Client expectations. Each project includes a defined number of revision rounds as stated in the project proposal.
Once a design, copy, or deliverable has received final written approval from the Client, no further revisions will be made free of charge.
If a Client wishes to cancel a project after the agreement has been signed and the advance payment received, the following applies:

Bear My Brand provides estimated project timelines in the project proposal. These timelines are good-faith estimates, not absolute guarantees, and may be affected by:
The Agency will communicate timeline changes promptly and in writing. The Client's delays in providing feedback or materials will automatically extend the project timeline by an equivalent period without penalty to the Agency.
Urgent or expedited project requests may be accommodated subject to Agency availability. Rush projects will be quoted at a premium rate (typically 30–50% above the standard rate), which must be agreed and invoiced separately.
Upon receipt of full and final payment (100% of the agreed project fee), Bear My Brand transfers full ownership and intellectual property rights of the final deliverables to the Client. This includes final design files, developed code, and agreed deliverables.

If a Client requires confidentiality and does not wish for their project to be featured in our portfolio, this must be agreed in writing before the project commences and will be subject to a confidentiality premium.
Stock photos, fonts, icons, and other third-party licensed assets used in a project are licensed separately. The Agency will inform the Client of any third-party assets used and their respective licensing terms. The Client is responsible for ensuring continued licensing for any third-party assets after project delivery.
Until full and final payment has been received, all work, concepts, drafts, and deliverables remain the sole intellectual property of Bear My Brand. The Client may not use, publish, reproduce, or distribute any work until full payment has cleared.
Both parties agree to treat as confidential all non-public information, business strategies, client data, financial information, and proprietary methods shared during the course of the engagement. Bear My Brand will not disclose Client confidential information to any third party without prior written consent, except where required by law.
This confidentiality obligation survives the termination of any project agreement for a period of 3 years.
To the maximum extent permitted by applicable law, Bear My Brand's total liability to the Client for any claim arising from or relating to services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

Bear My Brand warrants that services will be delivered with reasonable skill, care, and professionalism in accordance with industry standards. We do not warrant that deliverables will be error-free or that marketing results will meet specific targets.
Post-delivery support and maintenance are not included in the project price unless explicitly stated in the proposal. Once final files are delivered and the project is closed, any future changes, updates, or bug fixes will be quoted separately as a new engagement.
For ongoing services (social media management, SEO, digital marketing retainers), terms will be specified in a separate monthly service agreement.
These Terms and Conditions are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms or from services rendered shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising. If negotiation fails, the parties agree to proceed to mediation before initiating formal legal proceedings.
Bear My Brand reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. For ongoing client engagements, material changes to these Terms will be communicated via email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
